The appointments and compensation committee is responsible for the preparation of the board’s decisions by making recommendations in the following areas:

• selection of candidates for directors positions and proposals for the appointment of senior executives,
• independent status of directors,
• compensation of the chairman, of the CEO and COO and of the executive vice presidents,
• definition of general compensation and benefits policies for Group senior executives
